Terms & Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (the subscribing organization or individual) and MicroNova (“we,” “us,” or “our”). They govern your access to and use of the MicroNova cloud-based loan management platform (the “Service”) available at getmicronova.com.
By registering an account or using the Service in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
- You must be at least 18 years of age to use MicroNova.
- You must have the legal authority to enter into this agreement on behalf of your organization.
- MicroNova is a business platform intended for lawfully operating microfinance institutions, lending companies, credit cooperatives, and financial service providers.
- Use of this platform for unlicensed or illegal lending activities is strictly prohibited.
2. Account Registration
- You agree to provide accurate, current, and complete information during registration and to keep it up to date.
- You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
- You must notify us immediately at hello@getmicronova.com if you suspect unauthorized access to your account.
- Each organization is entitled to one tenant account. Sharing an account across multiple unrelated organizations is not permitted.
- You may not create an account on behalf of another person without their authorization.
3. Subscription Plans & Billing
Free Trial
All new accounts start with a 14-day free trial. No payment information is required during the trial. At the end of the trial period, continued access requires upgrading to a paid plan.
Paid Subscriptions
- Paid subscriptions (Starter and Growth plans) are billed on a monthly basis.
- Subscriptions renew automatically on the same date each month unless cancelled.
- Failure to maintain an active subscription will result in account suspension. You will not lose your data during a brief suspension, but you will not be able to create new records.
Plan Limits
Each plan includes defined limits on the number of users, loans, and branches. These limits are enforced by the platform. Exceeding a limit requires upgrading to a higher plan.
Pricing Changes
We reserve the right to change subscription pricing. Existing subscribers will receive at least 30 days' written notice before any price increase takes effect.
4. Acceptable Use
You agree to use MicroNova only for lawful purposes. You must not use the platform to:
- Conduct illegal, predatory, or unlicensed lending or financial services
- Process personal data without a lawful basis or the necessary consents from your borrowers
- Attempt to access, probe, or compromise another tenant's data or the platform's security systems
- Upload or transmit malware, viruses, or any harmful code
- Harass, threaten, or abuse other users of the platform
- Resell, sublicense, white-label, or commercially redistribute the Service without our prior written authorization
- Reverse engineer, decompile, or attempt to extract the platform's source code
- Circumvent or disable any security feature, access control, or quota limit
- Use automated scripts or bots to interact with the platform in a way that disrupts service availability
Violation of these use restrictions may result in immediate account suspension or termination without refund.
5. Data Ownership
You retain full ownership of all data you enter into MicroNova, including borrower records, loan data, transaction history, and uploaded documents. We do not claim any rights over your data.
We process your data solely as a data processor, for the purpose of providing the Service to you, in accordance with our Privacy Policy.
Upon account termination, you may export your data within a 30-day retention window, after which all data is permanently deleted.
6. Service Availability
We strive to maintain high availability (targeting 99.9% uptime) for the MicroNova platform. However, we do not guarantee uninterrupted access. The following may cause temporary service interruptions:
- Scheduled maintenance (we will provide advance notice where possible)
- Third-party infrastructure outages (Google Cloud Platform, Supabase)
- Force majeure events beyond our reasonable control
We are not liable for losses resulting from service interruptions outside our control.
7. Account Suspension & Termination
Cancellation by You
You may cancel your subscription at any time. Your account will remain accessible until the end of the current billing period, after which it will be downgraded. No further charges will be made.
Suspension or Termination by Us
We reserve the right to suspend or terminate accounts that:
- Violate these Terms or our Acceptable Use Policy
- Have outstanding unpaid invoices for more than 7 days past the due date
- Are found to be engaged in fraudulent, abusive, or illegal activity
- Pose a security risk to the platform or other tenants
Where reasonably possible, we will provide notice before suspension. Accounts terminated for serious violations are not eligible for refunds.
After Termination
Following termination, your data will be retained for 30 days, after which it is permanently deleted. Please refer to our Refund Policy for applicable refund terms.
8. Intellectual Property
All software, interfaces, algorithms, designs, trademarks, and content comprising the MicroNova platform are the exclusive property of MicroNova and its licensors, protected by applicable intellectual property laws.
These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription period, solely for your internal business operations. You may not:
- Use our brand, name, or logo without prior written consent
- Copy, reproduce, or distribute any part of the platform or its content
- Create derivative works based on the platform
9. Confidentiality
Each party agrees to keep the other's confidential information strictly confidential. “Confidential Information” includes, but is not limited to, pricing, technical specifications, product roadmaps, and customer data. Confidential information may not be disclosed to third parties without prior written consent, except as required by law.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- MicroNova shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.
- Our total cumulative liability to you for any claim arising from or related to your use of the Service shall not exceed the total amount you paid us in the three (3) months immediately preceding the claim.
- We are not liable for any loss or damage resulting from your failure to keep account credentials secure, actions of your staff, or data loss caused by factors outside our control.
11. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. MicroNova expressly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will meet your specific requirements, be error-free, or operate without interruption. You use the Service at your own risk.
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles.
Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
13. Amendments
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 14 days' notice via email or in-app notification before the changes take effect. Continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.
14. Entire Agreement
These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and MicroNova regarding the Service and supersede all prior agreements, representations, or understandings relating to the same subject matter.
